Terms of Service Términos de Servicio

If you are entering into this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you lack such authority, you must not accept these Terms or use the Service on behalf of that entity.

TrackYou360 provides a cloud-based GPS vehicle tracking and fleet management platform accessible via web browser at gps.trackyou360.com and via a companion mobile application. The Service includes, without limitation:

• Real-time GPS location tracking of registered vehicles
• Historical trip data, routes, and mileage records
• Geofencing and proximity alerts
• Driver and vehicle management tools
• Maintenance, fuel, and expense logging
• Notification delivery via email, Telegram, and WhatsApp (where configured)
• Downloadable mobile tracker application (Android APK)
• Reporting and analytics dashboards
• Role-based multi-user access (superadmin, admin, dispatcher, accountant, viewer)

TrackYou360 reserves the right to modify, add, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, without liability to you. We do not guarantee that any specific feature will remain available.

To use the Service, you must meet ALL of the following requirements:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts in your jurisdiction
• Not be prohibited from using the Service under the laws of your jurisdiction or any applicable law
• Not have been previously banned or suspended from the Service by TrackYou360
• Use the Service only for lawful purposes

By using the Service, you represent and warrant that you meet all eligibility requirements. TrackYou360 reserves the right to verify eligibility at any time and to refuse access to anyone who does not meet these requirements, without notice and without liability.

The Service is not intended for personal, family, or household use — it is a business tool for fleet and vehicle management by authorized operators. Use of the Service for illegal surveillance, stalking, or harassment is strictly prohibited.

Registration

Certain features of the Service require account registration. You agree to provide accurate, current, and complete information during registration and to update it as necessary to keep it accurate. You may not use a false identity, impersonate another person or entity, or create an account with false information.

Account Responsibility

You are solely responsible for:

• Maintaining the confidentiality of your username and password
• All activity that occurs under your account, whether or not authorized by you
• Immediately notifying TrackYou360 at support@trackyou360.com of any unauthorized use of your account
• All actions taken by sub-users, dispatchers, viewers, or any other users added to your account

TrackYou360 is not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account. You bear full responsibility for all actions taken by anyone using your account.

One Account Per User

You may not create multiple accounts to circumvent a suspension, restriction, or ban. If TrackYou360 discovers that a banned user has created a new account, that account will be immediately terminated.

Registro

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for lawful fleet and vehicle management purposes, subject to these Terms. Permitted uses include:

• Tracking vehicles owned by you or your organization
• Monitoring employees or contractors operating company vehicles, where you have obtained all legally required consents and provided all legally required notices
• Managing drivers, vehicles, trips, maintenance, and expenses for a legitimate business operation
• Using the mobile application on devices authorized by you for GPS reporting

You agree not to use the Service to:

• Track any vehicle or individual without lawful authority, proper consent, and all required legal notifications
• Stalk, harass, intimidate, or surveil any individual without legal authorization
• Violate any applicable law, including privacy, surveillance, employment, anti-stalking, or data protection laws
• Engage in any fraudulent, deceptive, or misleading activity
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the platform
• Scrape, harvest, or collect data from the platform by automated means without written consent
• Interfere with or disrupt the integrity or performance of the platform or servers
• Attempt to gain unauthorized access to any system or network connected to the platform
• Transmit any malware, virus, ransomware, or malicious code
• Use the platform to build a competing product or service
• Share, resell, sublicense, or transfer your account to any third party without express written consent from TrackYou360
• Circumvent any security measures, authentication controls, or access restrictions
• Impersonate TrackYou360, its employees, or any other person or entity
• Post, upload, or transmit any illegal, defamatory, obscene, or harmful content
• Use the Service in any way that could expose TrackYou360 to legal liability
• Violate the rights of any third party, including intellectual property, privacy, or contractual rights

Consent and Legal Authority

You represent and warrant that you have full legal right, authority, and consent — including all required written consents, employment agreements, and regulatory approvals — to track every vehicle and individual monitored through your account. Laws regarding employee monitoring, vehicle tracking, and location data collection vary significantly by country, state, and municipality. You are solely responsible for determining and complying with applicable law in your jurisdiction.

Driver and Employee Notification

If you use the Service to monitor employees or drivers, you are solely responsible for: (a) determining whether applicable law requires prior notice or consent; (b) providing any required notices; (c) obtaining any required consents; and (d) complying with any union or collective bargaining agreements. TrackYou360 has no obligation to notify any tracked individual on your behalf.

Data Accuracy and Decisions

You acknowledge that GPS data is not 100% accurate and must not be used as sole evidence in disciplinary proceedings, terminations, legal disputes, insurance claims, or any other decision that adversely affects a person. All decisions made based on platform data are your sole responsibility. TrackYou360 is not liable for any consequences of decisions you make based on platform data.

Legal Jurisdiction Responsibility

You are solely responsible for understanding and complying with all local, state, national, and international laws applicable to your use of the Service. TrackYou360 does not represent that the Service is legal or appropriate in any specific jurisdiction.

Data You Enter

You are solely responsible for the accuracy, completeness, and legality of all data you enter, upload, or process through the platform, including personal data of drivers, employees, and other individuals. You warrant that you have all necessary rights and consents to enter such data.

Consentimiento y Autoridad Legal

GPS location data may be affected by, without limitation: satellite signal interference, weather conditions, physical obstructions (buildings, tunnels, parking structures), device hardware quality, mobile network availability, software bugs, server processing delays, or any combination thereof. Location data may be delayed, inaccurate, or unavailable at any time.

Critical use prohibition: GPS data from TrackYou360 must never be used as the sole basis for: firing or disciplining employees, determining fault in accidents or insurance claims, legal or judicial proceedings, emergency response or navigation, or any decision with significant consequences for persons or property. You assume all risk for any such use.

Subscription Plans

Access to premium features requires a paid subscription. Subscription fees, billing cycles, and included features are described on the pricing page and may be changed by TrackYou360 at any time with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing.

Billing

You authorize TrackYou360 to charge your payment method for all applicable fees. All fees are stated in US Dollars unless otherwise specified and are exclusive of applicable taxes, which are your sole responsibility. Payments are processed by third-party payment providers; TrackYou360 does not store payment card information.

Failed Payments

If payment fails, TrackYou360 may: suspend access to the Service, attempt to re-charge the payment method, or terminate the account. TrackYou360 is not liable for any loss resulting from service suspension due to non-payment.

No Refunds — General Rule

All fees paid are non-refundable except as required by applicable consumer protection law or as expressly stated at the time of purchase. There are no refunds for partial billing periods, unused features, or service interruptions below our reasonable effort standard.

Free Trials

If you are offered a free trial, you may be required to provide payment details. Unless cancelled before the trial ends, you will be automatically charged at the applicable subscription rate. TrackYou360 reserves the right to limit free trials to one per user or organization.

To cancel, you may: use the account cancellation option within the platform settings, or contact us at support@trackyou360.com. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Service until that date.

Effect of Cancellation

Upon cancellation:

• Your access to the Service will be terminated at the end of the paid period
• Your data will be retained for 90 days, after which it will be permanently deleted
• You may request an export of your data before deletion by contacting support
• No partial refunds are issued for the remaining unused portion of a billing period
• Any sub-users under your account will also lose access

TrackYou360 is not responsible for any data loss resulting from your cancellation of the Service.

Grounds for Immediate Termination (Non-Exhaustive)

Without limiting the above, TrackYou360 may terminate or suspend your account immediately, without notice, if:

• You violate any provision of these Terms or any other policy of TrackYou360
• You engage in any prohibited conduct described in Section 6
• You use the Service for illegal surveillance, stalking, or harassment
• You fail to pay any fees when due
• Your account is involved in fraud, abuse, or misrepresentation
• Your use of the Service creates risk of legal liability for TrackYou360
• You attempt to circumvent security measures or technical limitations
• You misuse the free trial or create multiple accounts
• Your account has been inactive for an extended period
• TrackYou360 determines, in its sole judgment, that continued access is harmful, inappropriate, or contrary to the interests of the platform or its users
• For any business reason TrackYou360 deems sufficient, including but not limited to discontinuing the Service

Effect of Termination by Us

Upon termination by TrackYou360:

• Your access is revoked immediately
• Depending on the reason for termination, your data may be retained or deleted at our discretion
• In cases of Terms violation, no refund will be issued for any prepaid period
• You may be permanently banned from creating a new account
• TrackYou360 may, but is not obligated to, provide a reason for termination

No Liability for Termination

TrackYou360 is not liable for any damages, losses, loss of business, or any other consequence resulting from the suspension, restriction, or termination of your account, regardless of the reason. By using the Service, you accept this risk and agree that TrackYou360's right to terminate is a fundamental and essential term of this Agreement without which TrackYou360 would not provide the Service.

Appeal

If you believe your account was terminated in error, you may contact support@trackyou360.com. TrackYou360 will consider appeals at its sole discretion, but is under no obligation to reinstate any account.

TrackYou360 does not guarantee continuous, uninterrupted, or error-free availability of the Service. The Service may be unavailable due to:

• Scheduled or emergency maintenance
• Server or infrastructure failures
• Third-party service outages (hosting, CDN, DNS, payment processors)
• Cyber attacks or security incidents
• Force majeure events (natural disasters, government actions, wars, pandemics, power failures, internet backbone disruptions)
• Any other cause within or beyond our reasonable control

TrackYou360 is not liable for any loss, damage, or inconvenience caused by service unavailability, regardless of duration. We make no uptime guarantee and do not offer service credits for downtime unless expressly stated in a separate written agreement.

We reserve the right to modify or discontinue the Service — or any part of it — permanently or temporarily, at any time, without notice or liability.

The Service and all of its components — including but not limited to software, source code, object code, algorithms, databases, interfaces, designs, graphics, logos, text, icons, and documentation — are the exclusive intellectual property of TrackYou360 and are protected by applicable intellectual property laws worldwide.

These Terms grant you no ownership interest in the Service or its components. Your only right is the limited, revocable license described in Section 5, and only for as long as your account is active and in good standing.

The "TrackYou360" name, logo, and all related trademarks are the exclusive property of TrackYou360. You may not use them without prior written permission.

Any feedback, suggestions, or ideas you submit about the Service may be used by TrackYou360 freely, without restriction, compensation, or attribution.

You retain ownership of the data and content you upload to the Service (vehicle data, driver records, GPS logs, etc.). By uploading or submitting data to the Service, you grant TrackYou360 a worldwide, royalty-free, non-exclusive license to store, process, transmit, and display that data solely for the purpose of providing the Service to you.

You represent and warrant that:

• You own or have the legal right to use all data you submit
• Submitting the data does not violate any third party's rights or any applicable law
• You have obtained all necessary consents for any personal data of third parties you submit

TrackYou360 may use anonymized and aggregated data derived from your use of the Service for analytics, service improvement, and product development. This does not include personally identifiable information.

TrackYou360 is not responsible for any data loss. You are solely responsible for maintaining backup copies of your data. The Service should not be relied upon as your sole data repository.

The Service may integrate with or rely upon third-party services, including but not limited to: mapping providers, cloud hosting, push notification services (Telegram, WhatsApp, email), and payment processors. TrackYou360 does not control these third-party services and is not responsible for their availability, accuracy, security, or compliance with applicable law.

If a third-party service is discontinued, modified, or becomes unavailable, TrackYou360 may — without liability — modify or remove the corresponding feature from the Service. Third-party services are governed by their own terms and policies, which you agree to when you use them through the platform.

TrackYou360 is not liable for any damages or losses caused by third-party service failures, outages, or data breaches.

• Decisions made by you or others based on GPS data or platform information
• Employment or legal disputes involving tracked employees or drivers
• Loss of business, contracts, or revenue due to service downtime
• Unauthorized access to or breach of your account
• Data loss, corruption, or deletion
• Actions or failures of third-party services
• Consequences of your violation of applicable law
• Consequences of termination or suspension of your account
• Force majeure events

You agree to defend, indemnify, and hold harmless TrackYou360 and its officers, directors, employees, shareholders, contractors, agents, licensors, and successors from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your violation of these Terms or any incorporated policy
• Your use or misuse of the Service or any data obtained through it
• Your violation of any applicable law, including surveillance, privacy, employment, or tracking law
• Any claim by an employee, driver, contractor, or any other individual you track through the Service
• Your failure to obtain required consents, provide required notices, or comply with applicable tracking laws
• Content, data, or information you submit to the platform
• Unauthorized access to the Service through your account credentials
• Your negligence or willful misconduct
• Any dispute between you and a third party

TrackYou360 reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with TrackYou360 in asserting any available defenses.

Informal Resolution First

Before filing any formal dispute, you agree to contact TrackYou360 at legal@trackyou360.com and attempt to resolve the issue informally. If the dispute is not resolved within 30 days, either party may pursue formal remedies.

Binding Arbitration

EXCEPT FOR CLAIMS FOR INJUNCTIVE OR OTHER EQUITABLE RELIEF, ALL DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION. This includes disputes about the interpretation, breach, termination, or validity of these Terms. Arbitration is conducted on an individual basis.

Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, OR CONSOLIDATED PROCEEDINGS OF ANY KIND. All disputes must be brought individually. You may not consolidate your claim with claims of others, and no arbitrator may decide the claims of multiple users in a single proceeding.

Injunctive Relief

Notwithstanding the foregoing, TrackYou360 may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or to prevent irreparable harm.

EEA Users

If you are in the European Economic Area, the arbitration clause and class action waiver above do not limit your right to bring claims before your national courts or applicable supervisory authorities.

TrackYou360 reserves the right to modify these Terms at any time, at its sole discretion. When we make material changes, we will update the effective date and may notify you via platform notice or email. Your continued use of the Service after any modification constitutes your unconditional acceptance of the new Terms.

If you do not agree with any modification, your only remedy is to stop using the Service and cancel your account. No modification to these Terms by you is valid unless agreed to in a signed written agreement with TrackYou360.

Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and TrackYou360 regarding the Service and supersede all prior agreements, representations, or understandings, whether written or oral.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No Waiver

TrackYou360's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver is effective unless in writing signed by an authorized representative of TrackYou360.

Assignment

You may not assign or transfer your rights or obligations under these Terms to any third party without prior written consent from TrackYou360. TrackYou360 may assign these Terms, in whole or in part, to any affiliate, successor, or in connection with a merger, acquisition, or sale of assets, without your consent.

Force Majeure

TrackYou360 is not liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, pandemics, government actions, internet infrastructure failures, power outages, or cyberattacks.

Relationship of the Parties

The relationship between you and TrackYou360 is that of independent parties. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between the parties.

Governing Law

These Terms are governed by and construed in accordance with applicable commercial law. Disputes shall be resolved in the jurisdiction and manner described in Section 19.

Language

These Terms are provided in English and Spanish. In the event of any conflict between the two versions, the English version shall prevail.

Notice

Any notices to TrackYou360 under these Terms must be sent to legal@trackyou360.com. Notices to you may be sent to the email address associated with your account or posted on the platform.

Acuerdo Completo

Estos Términos, junto con la Política de Privacidad y la Política de Cookies, constituyen el acuerdo completo entre usted y TrackYou360 con respecto al Servicio y reemplazan todos los acuerdos, representaciones o entendimientos anteriores, ya sean escritos u orales.

Divisibilidad
